These Terms & Conditions ("Terms") govern your use of the Vantus Consulting website located at vantus-consulting.com ("Website") and your engagement with Vantus Consulting's services ("Services"). By accessing this Website or using our Services, you agree to be legally bound by these Terms.

Vantus Consulting is a business consulting firm based in Malaysia ("we", "us", "our"). If you do not agree to these Terms, please do not use this Website or our Services.

2. Services

Vantus Consulting provides business transformation and consulting services including but not limited to: process optimisation, revenue growth advisory, cost reduction, leadership development, sales performance improvement, talent acquisition consulting, execution and accountability systems, and team productivity improvement.

All consulting services are provided subject to a separate written engagement agreement or proposal agreed between Vantus Consulting and the client prior to commencement of work. These Terms apply in addition to any such engagement agreement.

3. Free Profit Leak Audit

Vantus Consulting offers a complimentary 90-minute Profit Leak Audit ("Free Audit") to prospective clients. The following conditions apply:

• The Free Audit is provided at no charge and without obligation to engage our paid services
• Findings and recommendations provided during the Free Audit are based solely on information shared by the prospective client during the session and are indicative only
• The Free Audit does not constitute a formal consulting engagement and Vantus Consulting accepts no liability for decisions made based solely on Free Audit findings
• Vantus Consulting reserves the right to decline or discontinue a Free Audit at its discretion
• One Free Audit is available per organisation within any 12-month period

4. Intellectual Property

All content on this Website — including text, graphics, logos, the Vantus Method framework, service descriptions, and methodologies — is the intellectual property of Vantus Consulting and is protected under Malaysian copyright law and applicable intellectual property laws.

You may not reproduce, distribute, modify, or use any of our content or methodologies for commercial purposes without our prior written consent. All rights are expressly reserved.

Any frameworks, tools, templates, or proprietary methods developed or used by Vantus Consulting in the delivery of Services remain the intellectual property of Vantus Consulting unless otherwise agreed in writing in a signed engagement agreement.

5. Confidentiality

Vantus Consulting treats all business information shared by clients and prospective clients as strictly confidential. We will not disclose your business information to third parties without your consent, except where required by law.

Similarly, any proprietary tools, methodologies, pricing, or internal information shared by Vantus Consulting during a consulting engagement should be treated as confidential by the client.

6. Fees and Payment

Fees for paid consulting engagements are agreed in writing before commencement of work. Unless otherwise specified in a signed proposal or engagement letter:

• Invoices are payable within 14 days of issue
• Milestone-based engagements follow the payment schedule outlined in the signed proposal (typically 30% upfront, 40% at midpoint, 30% on completion)
• Late payments may incur interest at a rate of 1.5% per month on outstanding amounts
• All fees are quoted in Malaysian Ringgit (MYR) and are exclusive of applicable taxes unless stated otherwise

7. Limitation of Liability

To the fullest extent permitted by Malaysian law, Vantus Consulting's total liability to you for any claim arising from the use of this Website or our Services shall not exceed the total fees paid by you to Vantus Consulting in the three months preceding the claim.

Vantus Consulting shall not be liable for any indirect, consequential, special, or incidental loss or damage arising from:

• Your use of, or inability to use, this Website
• Decisions made by you or your organisation based on advice, recommendations, or findings provided by Vantus Consulting
• Any loss of profit, revenue, business opportunity, or goodwill
• Any failure to achieve specific financial outcomes projected or estimated during a consulting engagement

Our consulting services are advisory in nature. While we work to deliver measurable results, business outcomes depend on many variables beyond our control, including client implementation, market conditions, and third-party factors.

8. Website Use

You agree to use this Website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use this Website in any way that violates applicable Malaysian laws or regulations
• Attempt to gain unauthorised access to any part of this Website or its systems
• Transmit any unsolicited commercial communications or harmful content

9. Termination of Engagement

Either party may terminate a consulting engagement by providing 14 days' written notice. In the event of termination:

• Fees for work completed up to the termination date remain payable
• Any advance payments for work not yet performed will be refunded on a pro-rata basis, subject to deduction of reasonable costs already incurred
• Both parties remain bound by confidentiality obligations following termination

10. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

We encourage resolution of any disputes through good-faith negotiation before initiating formal proceedings.

11. Changes to These Terms

We reserve the right to update these Terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of this Website or our Services after changes are posted constitutes acceptance of the updated Terms.
